UAE e-invoicing for free zone businesses

The short answer: free zone entities that fall within scope follow the exact same ASP appointment and go-live requirements as mainland businesses. There is no blanket free zone exemption, and this applies regardless of your VAT registration status.

Your deadline is the same checker, same brackets

Being a free zone entity doesn't change which revenue bracket you fall into or when your ASP appointment and go-live dates land. Run your revenue through the deadline checker exactly as a mainland business would, free zone status alone isn't a separate input.

Not VAT-registered? You're still in scope

A common assumption is that free zone entities below the VAT registration threshold, or in a zero-rated designated zone, sit outside e-invoicing entirely. They don't: any business conducting B2B or B2G transactions in the UAE is in scope regardless of VAT registration status. The one real exception: transactions inside a VAT group

Many free zone entities operate as part of a VAT group alongside a mainland parent or sister company. For transactions between entities inside the same VAT group, the Ministry of Finance has introduced a 24-month grace period, from 1 January 2027 to 1 January 2029, before those internal transfers are subject to full e-invoicing reporting.

This grace period only covers transactions between members of the same VAT group. It doesn't delay your ASP appointment or go-live date for transactions with anyone outside the group, and each TRN in the group is still generally its own separate ASP relationship, since most ASPs price and onboard per TRN rather than per group.

No local office? That doesn't exempt you either

Non-resident businesses that issue UAE tax invoices are in scope even without a local office or establishment, a relevant point for offshore or free zone structures with limited physical presence in the UAE.
